Your role at a glance

To support the LGAS and Group Direct Investments legal team in providing first class legal and governance advice in respect of a broad range of LGAS and Group direct investment transactions.

The role holder will be part of the Group Legal team and will be responsible for providing day-to-day legal advice and transaction support to the Group and Legal & General Retirement Institutional (LGRI) businesses, to ensure that the interests are as well positioned as practicable and that there has been due compliance with all statutory and regulatory requirements as well as the Group's own internal governance procedures.

 

What you'll be doing

  • You will be providing advice on regulatory, legal and reputational matters to Group and LGRI in relation to a broad range of corporate, investment and financing transactions, ensuring that a proper account is taken of material legal risks and the Group’s position is mitigated and protected.
  • You will be supporting the relevant business areas, including but not limited to the L&G Retail Fintech team and LGRI Investments division (both UK and Globally) in the structuring, negotiation, execution and management of direct investment transactions, taking responsibility for transaction documents, including term sheets and other early stage documentation and long-form documentation, with assistance from external counsel where required.
  • You will be providing day-to-day support to the business in relation to general advisory matters for existing Group and LGRI direct investments, including customary support for ad hoc requests on transactions.
  • You will be providing asset management support to the business, including in relation to investments suffering from financial difficulty and workouts from equity and debt perspective.
  • You will be responsible for the on-going development of L&G standard form documentation.
  • You will be providing governance support to Legal & General Group Plc and Group subsidiary companies with respect to Group and LGRI direct investment transactions, including ensuring legal risks are appropriately reported.
  • You will be working collaboratively with the relevant internal stakeholders including company secretarial, finance/accounting, tax, treasury, risk and board support in order to ensure a joined up approach on transactions and so that the strategic and commercial objectives of LGRI and the Group are achieved.
  • You will be working with the other Legal and Governance teams to ensure that there is a coherent and seamless delivery of legal and governance advice to the Group which can include travel to LGRI overseas businesses (currently Bermuda and US) and Group more generally.
  • You will be managing external counsel, key stakeholders and other third parties and to ensure business costs are kept to a minimum and manage external legal advice to ensure sound and commercially useful advice is provided to the business.
  • You will be co-ordinating with external counsel and internal advisory functions including the arranging of legal education and training.
