Job Title: Head of Legal and Company Secretary
Working Pattern: Monday to Friday, 36.25 hours per week
Salary: £dependent on experience, plus bonus and benefits
Location: Flexible – ideally North West based hybrid work from Manchester or Blackpool office

As the Head of Legal & Company Secretary at Tandem Bank, you'll serve as the legal advisor to the bank's Executive Team and Board of Directors. You'll be responsible for providing legal guidance on a wide range of matters affecting the bank's operations, including regulatory compliance, corporate governance, contractual agreements, and litigation management. Additionally, you'll fulfil the duties of the Company Secretary, overseeing corporate governance processes and ensuring compliance with statutory and regulatory requirements.

As a Head of Legal and Company Secretary at Tandem your focus will be on:
- Legal Advisory:
- Provide strategic legal advice to senior management and the Board of Directors on all aspects of the bank's operations, including regulatory compliance, risk management, and corporate governance.
- Review and negotiate contracts, agreements, and legal documents to protect the bank's interests and minimize legal exposure.
- Stay abreast of changes in laws and regulations affecting the banking industry and advise on their implications for Tandem Bank's business activities.
- Regulatory Compliance:
- Ensure that Tandem Bank complies with all relevant laws, regulations, and industry standards, including those set forth by financial regulatory authorities such as the Financial Conduct Authority (FCA) and the Prudential Regulation Authority (PRA).
- Develop and implement compliance policies and procedures to mitigate legal and regulatory risks.
- Coordinate with internal stakeholders to conduct regulatory audits and examinations and address any findings or deficiencies.
- Corporate Governance:
- Serve as the Company Secretary and oversee corporate governance functions, including board meetings, annual general meetings, and shareholder communications.
- Maintain corporate records, ensure timely filings with regulatory authorities, and monitor compliance with corporate governance best practices.
- Provide guidance to the Board of Directors on corporate governance matters and facilitate director training and education initiatives.
- Risk Management and Litigation:
- Identify legal risks and potential liabilities associated with Tandem Bank's business activities and develop strategies to mitigate such risks.
- Manage or oversee litigation, arbitration, and other legal proceedings involving the bank, including the selection and supervision of external legal counsel.
- Collaborate with internal stakeholders, such as risk management and compliance teams, to address legal and regulatory issues proactively.
We’d love to hear from you if you have:
- Demonstrable experience in a senior legal or compliance role within a regulated financial institution is highly desirable.
- Experience serving as a Company Secretary or familiarity with corporate governance practices is preferred
- A qualified solicitor or barrister with substantial experience in financial services law, preferably gained within the banking sector.
- In-depth knowledge of relevant laws and regulations governing banks and financial institutions, including consumer protection, data privacy, and anti-money laundering regulations.
- Strong analytical and problem-solving skills, with the ability to assess complex legal issues and provide practical solutions.
- Excellent communication and interpersonal skills, with the ability to effectively liaise with internal and external stakeholders at all levels.
- Demonstrated leadership capabilities and the ability to influence decision-making processes within a dynamic and fast-paced environment.
